1. Who we are and what these Terms cover
These Terms of Use ("Terms") are an agreement between you and Tradetron Inc., a Delaware corporation ("Tradetron", "we", "us"). They apply when you use Tradetron for US markets: on tradetron.us, with a US plan, or with a US broker, through our website, mobile apps, API or AI connectors (together, the "Service").
By creating an account, ticking the sign-up box or using the Service, you agree to these Terms, our Privacy Policy and our Risk Disclosure. If you do not agree, do not use the Service.
Tradetron for Indian markets is provided by Neutrino Trading Private Limited under its own terms at tradetron.tech. If you use both, each set of terms applies to its own market.
2. Who can use Tradetron
- You must be at least 18 years old and able to enter a binding contract.
- You must not be barred from using the Service under US law, including US sanctions (for example, OFAC lists).
- An account is for one person (or one legal entity acting through an authorized person). Do not share your login.
- The information you give us must be true and kept up to date.
3. What Tradetron is, and what it is not
Tradetron is software. It lets you build trading strategies, backtest them on historical data, run them on paper, and send orders automatically to a brokerage account that you own, under rules that you set.
Tradetron is not a broker-dealer, investment adviser, commodity trading advisor, commodity pool operator or futures commission merchant, and is not registered as any of these with the SEC, FINRA, the CFTC, the NFA or any state. We do not give investment, legal or tax advice, we do not recommend any security, strategy or trade, and we do not decide whether a strategy suits you. Templates, examples, AI-generated drafts and marketplace strategies are tools and information, not recommendations.
4. Your broker account, your responsibility
- Orders are placed in your own account at a broker you choose (today: Alpaca, tastytrade, Interactive Brokers, Tradier, TradeStation, Webull, E*TRADE, TradeZero and Robinhood). Your broker executes, clears and holds your positions, under its own customer agreement, fees and rules.
- When you connect a broker and deploy a strategy, you authorize Tradetron to send orders to that account exactly as your strategy's rules say, until you stop the strategy or disconnect the broker.
- You are responsible for every order sent from your account through the Service, for keeping enough funds and the right trading permissions (for example, options approval level and margin), for following your broker's and the market's rules, and for your taxes.
- Your broker's statements are the official record of your account. If what Tradetron shows differs from your broker, your broker's record wins.
- You can stop a strategy, exit positions or disconnect a broker at any time, in Tradetron or directly at your broker.
5. We never hold your money
Tradetron never holds, receives or moves your funds or securities, and cannot withdraw money from your brokerage account. For US brokers you connect on the broker's own page or through a connection provider (SnapTrade, Connect-Trade, Finatic, or Interactive Brokers' own portal); we do not ask for your broker password. The access these connections give us is limited to what the Service needs (reading your account and placing orders), and you can revoke it at your broker at any time.
6. Automated trading
Automated strategies act without asking you first. They do exactly what their rules say, including when the rules contain a mistake. Orders can be delayed, rejected, partly filled, filled at a worse price, duplicated or not sent at all because of market conditions, data errors, broker or connection-provider outages, expired broker sessions, internet problems or problems with the Service. You agree to monitor your strategies and your broker account, and not to rely on Tradetron alone to exit a position. We may pause a strategy or stop sending orders when we reasonably believe it is needed to protect you, other users, the markets or the Service. Paper trading and Live Offline modes simulate fills and do not place real orders. Read the Risk Disclosure before you trade.
7. Backtests and hypothetical performance
Backtests, paper trading results and any performance figures for strategies on Tradetron (including marketplace listings) are hypothetical unless they are clearly labeled as live results, and even live results of one account do not predict yours.
Hypothetical performance notice. Hypothetical or simulated performance results have certain limitations. Unlike an actual performance record, simulated results do not represent actual trading. Also, since the trades have not been executed, the results may have under- or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown. Past performance does not guarantee future results.
8. Plans, billing, renewal, cancellation and refunds
- Prices. US plans are priced and billed in US dollars, as shown on the pricing page at the time you buy. The price shown at checkout is what you pay for that period.
- Payment. You pay up front for the period you choose (monthly, quarterly or yearly) by card through our payment processor, Stripe. Stripe collects and stores your card details; we do not receive or store your full card number.
- Renewal. US plans do not renew automatically. Your plan ends at the end of the period you paid for; to keep it, you pay for a new period. We may email you before a plan ends. If we ever offer automatic renewal, we will ask for your consent at checkout first and tell you how to cancel.
- Cancellation. Because plans do not renew automatically, you cancel simply by not buying another period. Your plan stays active until the end of the period you paid for. You can also close your account at any time (see the Privacy Policy).
- Refunds. Fees are non-refundable, except: (a) if you switch to another plan before your current one ends, the unused days of the plan you paid for in full are refunded pro rata to your original payment method, or, where the payment is too old to refund to your card, added to your new plan as extra days; (b) a duplicate or mistaken charge is refunded once confirmed (write to us); and (c) where the law requires a refund.
- Strategy subscriptions and backtest credits. Fees to subscribe to a creator's strategy, and backtest credits, are priced as shown when you buy them and follow the same refund rule. Credits for a backtest that fails on our side are returned to your Tradetron wallet.
- Price changes. We may change prices. A change applies to periods you buy after it, never to a period you have already paid for.
- Broker and market costs. Commissions, exchange and regulatory fees, market data fees and interest charged by your broker are separate from our fees and are paid to your broker.
9. Acceptable use
You agree not to:
- use the Service for anything unlawful, including market manipulation (such as spoofing, layering, wash trading or front-running) or trading in an account you are not authorized to trade;
- use the Service to give investment advice or manage other people's money where the law requires a registration you do not hold;
- share, sell or rent your account or access to strategies you subscribed to;
- copy, scrape, reverse engineer or resell the Service, or get around plan limits, rate limits or security controls;
- upload malicious code, overload our systems, or access accounts or data that are not yours;
- publish strategies, results or claims that are false or misleading, including performance figures without the hypothetical-performance notice.
10. Creators and the marketplace
Strategies in the marketplace are made by other users ("creators"), not by Tradetron. Creators are not our employees or agents, and we do not check whether a strategy is suitable for you or whether its creator is registered with any regulator. If you publish a strategy, you are responsible for it and for any registration your activity requires, you must not make misleading claims, and you give us the right to display and run it for the users you choose to share it with. We may remove any strategy or content that breaks these Terms or the law.
11. AI features
Tradetron includes AI assistants that can explain the product, draft strategies and answer questions. AI output can be wrong or incomplete. It is not advice. Review and backtest anything an AI drafts before you run it with real money.
12. Your content and our intellectual property
You keep ownership of the strategies and content you create. You give us a non-exclusive, worldwide, royalty-free license to host, copy, process and run them only as needed to provide and improve the Service for you (and, if you publish a strategy, to show and run it for the users you share it with). The Service, its software, design and content, and the Tradetron name and logo, belong to Tradetron or its licensors; Tradetron® is a registered trademark. If you send us feedback, we may use it without owing you anything.
13. Third-party services
The Service connects to services we do not control, including brokers, connection providers, market data sources and payment processors. Their terms apply to your use of them, and we are not responsible for their acts, outages or errors. Market data may be delayed, incomplete or wrong.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or close your account, or stop running your strategies, if you break these Terms, if we must do so by law, or to protect users, the markets or the Service. We will tell you when we can. Sections 5, 7 and 12 to 18 survive termination, as do any amounts you owe.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT ORDERS WILL BE SENT OR FILLED, OR THAT ANY STRATEGY WILL MAKE MONEY.
16. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) TRADETRON, ITS AFFILIATES AND THEIR OFFICERS, EMPLOYEES AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR TRADING LOSSES, LOST PROFITS, LOST OPPORTUNITIES OR LOST DATA, HOWEVER CAUSED; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND US$100. Some states do not allow some of these limits, so they may not all apply to you.
17. Indemnity
You will defend and indemnify Tradetron and its affiliates, officers, employees and agents against claims, losses and costs (including reasonable legal fees) arising from your use of the Service, your strategies or content, or your breach of these Terms or the law.
18. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and applicable US federal law, without regard to conflict of laws rules. Before filing a claim, you agree to email us and try to resolve the dispute informally for 30 days.
If it is not resolved, any dispute will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Delaware (hearings may be held remotely). Either of us may instead bring an individual claim in small claims court. You and Tradetron each waive the right to a jury trial and to take part in a class or representative action. You may opt out of arbitration by emailing us within 30 days of first accepting these Terms. Any dispute not subject to arbitration will be heard only in the state or federal courts located in Delaware, and both of us consent to their jurisdiction.
19. Changes to these Terms
We may update these Terms. The date and version at the top of this page change with every update. If a change is material, we will tell you by email or in the product before it takes effect. If you keep using the Service after a change takes effect, the new Terms apply; if you do not agree, stop using the Service.
20. General
These Terms, the Privacy Policy and the Risk Disclosure are the whole agreement between you and us about the Service. If a part of them cannot be enforced, the rest still applies. Not enforcing a right is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them to an affiliate or a successor. We are not responsible for delays or failures caused by events beyond our reasonable control, such as exchange halts, outages of brokers, networks or cloud providers, or government action.
